A good conductor is one who is well-studied, is creative, and who can articulate ideas clearly through speech and gesture. The good conductor also must have an excellent sense of tempo and internal rhythm to support the ideas. A courteous conductor is definitely a plus, too.
A good rehearsal is where a good conductor, thoroughly prepared, leads an ensemble of good players in preparing good music, and wastes no time by displaying efficient time management. Whenever that happens, it's pretty exciting.
